These General Terms and Conditions apply to all agreements between Westwood Products, Westwood Sourcing and its customers. Please read these terms and conditions carefully before using our products and services. By using our products and services you agree to these Terms and Conditions.


​Definitions


​In these General Terms and Conditions the following definitions apply:


Westwood Products, located in Breda, the Netherlands, with Chamber of Commerce number 87462214.

Customer: the natural person or legal entity who enters into an agreement with Westwood Products.

Applicability

1.1 These General Terms and Conditions apply to all offers, quotations, agreements and deliveries between Westwood Products and the customer, unless expressly agreed otherwise in writing.

1.2 Any general terms and conditions of the customer do not apply, unless otherwise agreed in writing.


Quotations and Agreements

2.1 All quotations and offers from Westwood Products are without obligation and valid for the period stated in the quotation, unless otherwise stated.

2.2 An agreement is concluded when the customer accepts the quotation in writing or electronically, or when Westwood Products provides written confirmation of the order.



Delivery and Delivery Time 

3.1 The delivery of products and services takes place in accordance with the agreement between Westwood Products and the customer.

3.2 Any delivery times are indicative and not binding, unless expressly agreed otherwise in writing.



Prices and Payment 

4.1 All prices are exclusive of sales tax (VAT) and other levies imposed by the government, unless stated otherwise.

​4.2 Payment must be made within the term and in the manner stated on the Westwood Products invoice.



Intellectual property rights

5.1 All intellectual property rights relating to the products and services of Westwood Products belong to Westwood Products or its licensors.

5.2 The customer is not permitted to copy, reproduce, modify, distribute, publish or otherwise make available to third parties any information, material or content of Westwood Products without the prior written consent of Westwood Products.



Liability

6.1 Westwood Products is not liable for any direct or indirect damage that the customer suffers as a result of the use of Westwood Products' products and services, unless there is intent or gross negligence on the part of Westwood Products.

6.2 The liability of Westwood Products is in any case limited to the amount paid by the customer for the relevant products or services.



Force majeur

7.1 Westwood Products is not liable for any failure to fulfill its obligations to the customer if this failure is the result of a force majeure situation.

7.2 Force majeure means any circumstance beyond the control of Westwood Products that prevents or hinders the fulfillment of its obligations, such as natural disasters, war, strikes, government measures, and technical failures.



Disputes and Applicable Law

8.1 Dutch law applies to all agreements between Westwood Products and the customer.

8.2 Disputes arising from or related to this agreement will initially be submitted to the competent court of Breda.



Changes to the General Terms and Conditions

9.1 Westwood Products reserves the right to change or supplement these Terms and Conditions.

9.2 Amended General Terms and Conditions apply to all new agreements concluded after the amendment.


These Terms and Conditions come into effect on July 5, 2023 and will remain in effect until modified or replaced by Westwood Products. By using the products and services of Westwood Products, the customer agrees to these Terms and Conditions.

STANDARD TERMS AND CONDITIONS OF SALE

You should update this document to reflect your T&C.

Below text serves as a suggestion and doesn’t engage Odoo S.A. responsibility.

  1. The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing.
  2. Our invoices are payable within 21 working days, unless another payment timeframe is indicated on either the invoice or the order. In the event of non-payment by the due date, Westwood B.V. reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due. Westwood B.V. will be authorized to suspend any provision of services without prior warning in the event of late payment.
  3. If a payment is still outstanding more than sixty (60) days after the due payment date, Westwood B.V. reserves the right to call on the services of a debt recovery company. All legal expenses will be payable by the client.
  4. Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can Westwood B.V. become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to Westwood B.V. in its entirety and does not include any costs relating to the legislation of the country in which the client is located.
  5. Westwood B.V. undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. Westwood B.V. cannot under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.
  6. In order for it to be admissible, Westwood B.V. must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 8 days of the delivery of the goods or the provision of the services.
  7. All our contractual relations will be governed exclusively by Netherlands law.
